Account Creation

Client Intellectual Property

Upon full payment for custom development services, clients receive ownership rights to the final deliverables as specified in the service agreement. However, we retain the right to:

• Use general knowledge and skills gained during projects
• Reuse non-proprietary code, frameworks, and methodologies
• Display completed projects in our portfolio with client consent
• Reference the project for business development purposes

License to Use Our Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal or business purposes in accordance with these terms.

Project Proposals

All development projects begin with a detailed proposal outlining scope, timeline, deliverables, and costs. Both parties must agree to and sign the proposal before work commences.

Payment Terms

• Payment schedules are specified in individual service agreements
• Typical payment structures include upfront deposits and milestone-based payments
• All payments are due within the timeframe specified in invoices
• Late payments may result in project suspension and late fees
• Accepted payment methods include bank transfer, credit card, and approved payment platforms

Refund Policy

Refunds are handled on a case-by-case basis and are generally not available once work has commenced. Specific refund terms will be outlined in your service agreement.

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations
• Infringing on intellectual property rights of others
• Transmitting viruses, malware, or other harmful code
• Attempting to gain unauthorized access to our systems
• Interfering with or disrupting our services or servers
• Collecting or harvesting information about other users
• Impersonating another person or entity
• Engaging in fraudulent activities or misrepresentation
• Using our services for any unlawful purpose
• Reverse engineering or attempting to extract source code

We understand the sensitive nature of business information and maintain strict confidentiality standards:

• We will sign Non-Disclosure Agreements (NDAs) when required
• Access to confidential information is limited to team members working on your project
• We implement appropriate security measures to protect your data
• Confidentiality obligations survive termination of our relationship

Service Warranties

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. We strive to deliver high-quality work but cannot guarantee specific results or outcomes.

Disclaimers

Except as expressly provided in a service agreement, our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free service
• Accuracy or reliability of information
• Defects will be corrected

To the maximum extent permitted by law, Pinnacle Code Solutions shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or delays
• Third-party actions or content
• Any damages exceeding the amount paid by you in the 12 months preceding the claim

Some jurisdictions do not allow limitations on implied warranties or limitation of liability, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Pinnacle Code Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of our services
• Your violation of these Terms and Conditions
• Your violation of any third-party rights
• Any content or data you provide to us
• Your breach of any representations or warranties

Termination by Us

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for conduct that we believe:

• Harms or poses risk to other users or third parties
• Exposes us to legal liability
• Is fraudulent or illegal

Termination by You

Waiver

Assignment

You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign these terms without restriction.
